Notice of Special and Regular Meeting of the Members

Greetings Southwestern Yacht Club Members,

By any measure this has been a wild year to say the least. Starting with the COVID-19 lockdown and now some of us are dealing with civil unrest in our own neighborhoods. I applaud how our members have been making their way through it with courage and fortitude. Every day we see a little normalcy return to our lives. Our members are relentlessly social, so the closure of the Clubhouse was devastating. I know I took for granted how much I enjoyed casually having a glass of wine with friends on the sunny deck or a pint of local lager along with a yacht burger - medium rare with cheese- as I rolled up to the best bar in San Diego.

The good news is the Clubhouse is open and we are slowly getting back to normal. I want to personally thank each of you for making this happen. Without you following the guidelines set forth by the San Diego County Department of Health, we may still be closed. Believe me, the employees are happy to be back on the job so let's keep up the hard work of social distancing and following the mask requirements, especially on the docks as it is next to impossible to negotiate them without coming within unsafe distances

There are a few important things I wanted to alert you to. Executive Chef, Adam Schwartz, released his new summer menu on June 15th. Alongside the SWYC standards (yacht burger, etc.) will be many new items including Street Corn Fritters, Gyro Sandwich, and Hoisin Ginger-Glazed Salmon. All of the new dishes can be ordered with a side of the Commodore's favorite tater tots, just saying. With the opening of the Clubhouse and the seasonal summer menu launching, the Board of Directors has decided to reinstate the quarterly food & beverage minimums effective July 1st. If you don't feel comfortable eating at the Clubhouse or on the deck, we will still be offering takeout.

The Club Wine Program has been a huge success. As a privilege of membership, this program enables you to purchase any case of wine at a 10% margin markup over wholesale prices. All bottles within your case will be labeled with the Club Burgee which entitles you to complimentary corkage service any time thereafter at the Club. Participation in the Wine Program is easy. Just email your inquiry to
dan@southwesternyc.org and he will quote you a price. If the price meets with your approval you confirm via email. You will be contacted when your case(s) are ready for pickup at the Club. Before you ask, yes, wine purchased through the Wine Program counts toward your quarterly miniinum.

The Club Bylaws require a regular Meeting of the Members to be held in May at the Clubhouse or a facility nearby. The Bylaws allow for the Meeting to be delayed by not more than 30 days. In light of the COVID-19 Major Emergency as declared by the President, as well as the State of Emergency declared by the Governor and the City of San Diego, along with the associated restraints on gatherings of individuals, enforceable under California Emergency Services Act and Government Code section 8665, it was impossible to legally satisfy the goals of the Bylaws as they relate to the Meeting. The Board of Directors voted to postpone the Meeting of the Members until such a time as it is reasonably practicable in light of the declared State of Emergency, as well as the notice requirements. Our hope was to postpone the Meeting until June or July. As it turns out it does not look like the Club will be able to have a 100+ person gathering for the foreseeable future. With this reality, the Board of Directors has voted to proceed with the Meeting virtually on July 24th, 2020 at 7:00 P.M. via Zoom video.

Our Club, along with just about every other business entity in the world is having to adapt to the COVID-19 pandemic. Our intention is to run the Virtual Meeting as closely as possible along the lines of the Bylaws. Details of how it will be executed will be forthcoming. Look also for a notification of a SWYC Town Hall to be held the week of July 13th. We will use the Town Hall to answer questions about the proposals and also let members get the feel for the Virtual Meeting.

Included in this letter is the Statement of the Secretaiy which details three motions the Board of Directors believes should be approved by membership.

The first two motions continue, but substantially reduce the discounts on Initiation Fees the Club has had in place over the last few years. These discounts have been instrumental in recruiting new members. The Board feels having them in place as the economy goes into an uncertain territory is important. If it turns out the economy is much more resilient than expected, the Board of Directors has the ability to discontinue them at any time. We believe it is better to have them in place than not to.

The third motion is to top off the Reserve II account. The Board of Directors utilizes this account when it needs to cover expenses which are less than $7,500 without having to wait for the May or November meeting of the members. Expenses come up at the Club constantly and without these funds readily available, the Board would be unable to immediately cover them.

A personalized email invitation will be sent with instructions for the Virtual Regular and Special Meeting of the Members. Please make sure the Front Desk has your correct email address. If you need to update it, please send your name, email address, and member number to info@southwesternyc.org. If you would like to attend the virtual meeting but feel unable due to limited computer availability/skills please also let us know at info@southwesternyc.org and we will provide alternate options.

Thank you all for being flexible through all this. If you need clarification or have questions don't hesitate to contact me at the email below.
